欧盟委员会批准对综合产业的现金收购建议

豪瑞参与(英国)有限公司，是豪瑞有限公司的全资子公司，继上个月美国竞争当局的批准后，现在已收到欧盟委员会的竞争批准，以建议现金收购2005年1月20日宣布的综合工业有限公司。除其他外，该要约仍以收到对该要约的有效接受为条件，即该要约所涉及的总工业股份的名义价值不低于90%。

尚未返回的接受形式应按照优惠文件中规定的说明及以接受方式填写并返回，以便尽快收到，并且在任何情况下，不迟于下午3:00。（伦敦时间）于2005年3月21日。

除非要约人另有确定（Holcim参与（英国）有限公司），否则不得直接或间接地，进入或通过邮件或任何手段或工具（包括那without limitation, facsimile transmission, telephone and internet) of interstate or foreign commerce of, or any facilities of a national, state or other securities exchange of, any Restricted Jurisdiction and the Offer (including the Loan Note Alternative) will not be capable of acceptance by any such use, means, instrumentality or facility of, or from or within, any Restricted Jurisdiction. Accordingly, copies of this announcement are not being, and must not be, directly or indirectly, mailed or otherwise forwarded, distributed or sent in, into or from any Restricted Jurisdiction and persons receiving this announcement (including custodians, nominees and trustees) must not mail or otherwise distribute or send it in, into or from such jurisdictions as doing so may invalidate any purported acceptance of the Offer. Notwithstanding the foregoing, the Offeror will retain the right to permit the Offer to be accepted and any sale of securities pursuant to the Offer to be completed if, in its sole discretion, it is satisfied that the transaction in question can be undertaken in compliance with applicable law and regulation.
